Section 11.1 Authorization to Dissolve

The Nonprofit may be dissolved voluntarily only as authorized by law, by these Articles, including the Protected Provisions Article, and by the Bylaws.

Section 11.2 Distribution of Assets

Upon dissolution, after paying or providing for its liabilities, the Nonprofit shall distribute its remaining assets for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or to the federal government or a state or local government for a public purpose, with preference for purposes most closely aligned with the Nonprofit’s charitable purposes. Section 11.3 No Private Distribution

No asset shall be distributed to any Official Representative or other private person, except as reasonable compensation for services or payment of a lawful obligation.

Section 11.4 Restricted Property

Property committed to charitable purposes shall not be diverted from the purposes for which it was given. The only exceptions are those permitted by 15 Pa.C.S. § 5547 and by order of a court of competent jurisdiction. Donor restrictions shall be honored or modified only as permitted by law.
